Danaher Corporation Legal Counsel in Beijing, China

Legal supports, Contract review/management:

  • Review, negotiate and help to submit deviations via Docu-sign for authorized leaders’ approval on sales contracts, bidding documents and other legally binding commercial commitments

  • Review Non-standard Procurement Agreements directed to Bill of Materials

  • Review non-standard Confidentiality Agreements

  • Continuously monitor and track the operation quality of simplified contract review process

  • Advise on legal issues, risks, and company policies

  • IP Protection: implement the local IP protection projects against counterfeit manufacturer in the open market under guidance and coordination of Pall Life Sciences Chief IP Counsel

Training

  • Periodically provide orientation training to new hired employees, including brief introduction of Commercial and Contract Department, Contract Review Process, DOA policy, Legal & Compliance Department and Policies

  • Provide Delegation of Authority and Contract Review Process training to sales team

  • Provide compliance training including FCPA, anti-trust, and Competition laws

  • Provide channel partner Due Diligence process training to related parties

Compliance and Investigation

  • Conduct compliance investigation cases

  • Channel partner compliance screening process: provide guidance on the process to related stakeholders on as needed basis

  • Providing support to legal project and legal actions plans as required

Others

  • Lead and drive the deregistration process of a local subsidiary

  • Provide legal support to ordinary corporate governance issues on an as needed basis, including legal advice on capital increasing project of Pall China

  • Manage dispute resolution cases, including litigation and settlement, under guidance and coordination with Pall Life Sciences General Counsel

  • Provide general legal support to shared service functions and BUs as needed basis

  • Provide Legal due diligence for China based M&A activities

    Qualifications

  • Bachelor degree or above, majored in Law

  • Minimum 8 years of PQE in China;

  • MNC in-house experience is a must;

  • Excellent knowledge of corporate policies and procedures, coupled with ability to identify required improvement to established policies;

  • Extensive experience in negotiating contract commercial terms;

  • Ability to interact with all business groups as well as senior management for development and execution of contracts;

  • Must possess excellent written and verbal communication skills;

  • Aptitude and willingness to take on legal and policy-related matters that extend beyond the realm of commercial contracts

  • To work safely and to comply with the company’s health, safety and environmental (HSE) policies and procedures. (Mandatory- Do not Remove)

  • Proficient in Microsoft office (Excel, Word, PowerPoint);

  • Fluent English skills;

  • Working experience in Life Sciences MNCs is preferred.
