Responsibilities:

  • Draft, review and revise commercial and other agreements, government contracts, including RFPs, site access agreements, BAAs, HIPAA Business Associate Agreements, customer disputes, standard agreements (e.g., confidential disclosure, material transfer, evaluation, and professional services agreements), security agreements including revisions to customer terms and conditions

  • Conduct basic legal and business research.

  • Performs substantive legal work that requires knowledge of legal concepts including analysis, drafting, negotiating and consulting

  • Identifies moderately complex to complex legal issues related to assigned matter; proposes alternative solutions

  • Assists attorney in resolving complex legal issues on projects involving multiple disciplines within the Legal Division and/or multiple functional areas or divisions within Beckman Coulter.

  • Keeps abreast of changes in laws that affect client areas.

  • Represents externally to customers, suppliers, competitors, opposing counsel or government agencies; resolves legal issues using negotiation skills and legal experience involving more complex matters.

  • Represents Legal Division internally to clients

  • Draft commercial sales and services agreements with group purchasing organizations and integrated delivery networks

  • Train commercial sales and service on “battle of the forms” process

  • Engage with external customers and their legal representatives regarding contract terms

  • Provide guidance as required

  • Maintain library of forms and resources

  • Develop written procedures, work flow plans or other systems for standard operating procedures as required

  • Professionally and diplomatically resolve issues regarding customer concerns and other matters as necessary

  • Apply innovative problem-solving skills and judgment to assist in managing corporate risk

  • Identify best practices to influence continuous improvement in the organization

  • Balance priorities and establish timelines to enable efficient processing of transactions.

  • Build strong partnerships with cross functional peers and superiors to improve processes and champion contract policy and procedure revisions.

  • Exercise independent judgment, action and initiative.

  • Maintain all organizational and professional ethical standards.

  • Legal champion/representative and driver for Docusign redlining capability project in iQuotes from development to launch and ongoing co-owner for sustainment.

  • Responsible for reviewing all legal requests in quoting system workflow.

Qualifications:

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required:

  • Experienced with anti-kickback, HIPAA, and medical device industry

  • Works closely with business units, as necessary, while maintaining independent judgment and decision-making skills

  • Ability to apply analytical skills to interpret data and use independent judgment and discretion in developing solutions to address a variety of issues regarding contracts and related problems of moderate scope and complexity

  • Ability to quickly acquire knowledge of new business activities or issues

  • Adaptable to changing job requirements and priorities in order to meet dynamic needs and workflow

  • Ability to work in a team-oriented environment and meet tight deadlines

  • Demonstrated ability to work with outside counsel and to interact with senior management

  • Negotiations skills are desired.

  • Must demonstrate a high degree of organizational skills and professionalism

  • Strong presentation and written and verbal communication skills; strong project management skills

Education/Experience:

  • BA/BS from an accredited college or university, a paralegal certificate from an ABA accredited school (or any equivalent combination of related experience, training, and/or education), plus five or more years of experience as a paralegal which should preferably be in-house for a corporation.

Language Ability:

  • Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.

Math Ability:

  • Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, fractions, and decimals. Ability to calculate figures and amounts such as discounts, interest, commissions, proportions and to draw and interpret bar graphs.

Computer Skills:

  • MS Word, MS Outlook, MS Excel, MS PowerPoint and the Internet. Candidates should possess a strong computer software background and be comfortable gaining proficiency quickly as the department utilizes various third-party software applications.

  • Certificates and Licenses:

  • Paralegal Certificate, CLA/CP Certification or equivalent paralegal experience.
