You, The IP Counsel, will provide strategic advice on a wide range of intellectual property matters relating to Molecular Devices worldwide R&D program and commercial operations. You will work closely with senior scientific and business stakeholders to identify and protect innovations, develop and execute an IP portfolio strategy, and monitor competitor IP positions. In addition, you will counsel on all IP matters, including freedom to operate assessments and advising on due diligence in connection with complex transactions.

The successful candidate will have an excellent understanding of US and foreign patent law, possess the ability to evaluate and balance both legal and business factors when providing advice, and communicate complex issues in clear business terms.

Key Responsibilities:

  • Serves as trusted counsel on all IP issues (with a particular focus on invention mining, patentability, patent prosecution and freedom to operate), locally and globally, by giving solid and practical IP legal advice.

  • Aligns IP strategies with business and strategic plans.

  • Leads outside counsel in the preparation and prosecution of patent and trademark applications.

  • Negotiates, drafts, and reviews agreements such as licenses, research agreements, collaboration agreements, confidentiality agreements and material transfer agreements.

  • Conducts freedom to operate assessments on emerging technology.

  • Conducts due diligence in connection with a range of strategic transactions, including substantial collaborations and M&A transactions.

  • Guide senior legal and business stakeholders on IP litigation and other adversarial proceedings, such as European Oppositions and US IPR proceedings.

  • Provides educational presentations and other training on IP matters to Molecular Devices employees.

  • Occasional domestic and international travel may be required.

Education and Experience

  • Juris Doctorate with excellent academic credentials from an accredited law school.

  • Active bar membership in at least one US jurisdiction.

  • Admitted to practice before the U.S. Patent and Trademark Office.

  • Educational background or industry experience in biology, chemistry, and physics with working knowledge of software is preferred. Alternatively, educational background or industry experience in software with working knowledge of life sciences is preferred.

  • 7 – 10 years of relevant experience in either a law firm or as in-house counsel is required

  • 2-3 years of experience as in-house counsel is preferred.

  • Partners effectively with relevant stakeholders at all levels of the global organization and across all phases of research, development & commercialization to provide clear, strategic business counseling.

  • Approaches IP with a strategic mindset by anticipating future business, competitive and legal risks, and looks for creative solutions and opportunities.

  • Strong negotiation, communication, problem-solving, and analytical skills; able to communicate complex IP issues in business terms across a spectrum of partners.

  • Must have strong client service orientation.

  • Self-directed and proactive, comfortable executing on multiple projects independently and in collaboration with others.

  • Demonstrated high integrity and ethics in all dealings, non-political in conduct, while understanding internal and external dynamics.
