Job Title: Corporate Paralegal

Location: Remote, USA

Purpose statement:

The Corporate Paralegal position is responsible for providing professional legal support to the office of General Counsel, including Compliance, maintenance of corporate records, legal document preparation, contract administration, and legal filings.

Essential Functions:

  • Administer and manage contract management database, ensuring all contracts are entered into database with appropriate descriptions and alert notices.

  • Manage Compliance SharePoint site including Compliance related forms and documents. Create and maintain auditable files and records related to the Compliance function. Track Charitable Council meeting minutes and prepare meeting documents.

  • Review and maintain corporate documents, including subsidiary minutes, annual reports and certificates.

  • Prepare first drafts of basic legal agreements such as non-disclosure agreements, leases, amendments, purchase, service, and sales agreements. Administration of Real Estate transactions.

  • Coordinate with other relevant internal business functions, such as purchasing, accounting, quality assurance, business development, human resources, sales, and marketing.

  • Organize and keep minutes for selected meetings.

  • Handle a variety of requests for legal and entity information from the business.

  • Manage approvals for gift giving, customer travel, meals etc. in compliance with required policies

  • Record Retention Policy and Procedure management.

  • Support global growth initiatives, to include data privacy.

  • Assist attorneys by providing input on agreement-related processes to clarify procedures, draft SOPs and minimize delays in agreement processing.

  • Other special projects as assigned.


  • Paralegal certificate from an American Bar Association approved paralegal education program preferred, but not required.

  • Associates’ degree preferred.

Professional Experience:

  • Minimum of three years professional-level experience, preferred.

  • Strong MS Word, MS Outlook, MS Excel, and MS PowerPoint skills. Candidates should possess a strong computer software background and be comfortable gaining proficiency quickly as the department utilizes various third-party software applications.

  • Ability to work in a team-oriented environment and meet tight deadlines

  • Flexibility and attention to detail.

Physical Requirements:

Exert up to 10lbs. of force occasionally and/or up to a minimal amount frequently.
