Danaher Corporation Counsel, Transactions in New York, New York
Responsibilities:
Work closely and collaboratively with all levels of clinical, medical affairs, global marketing, sales, sales operations, finance, and business development teams to support a broad range of transactions
Negotiate, draft, and review various agreements, including sponsored research agreements, material transfer agreements, master services agreement, sales, service and equipment rental agreements, and nondisclosure agreements
Identify, interpret, explain, and advise on various legal issues and associated risks, including those concerning promotional programs, transactions with healthcare providers and research institutions
Provide creative and proactive counsel to relevant business stakeholders
Develop and implement training and education programs, policies, and procedures related to transactions and contracting processes
Improve and create contract templates and negotiation playbooks
Escalate issues, as appropriate, to the Senior Counsel, Transactions to identify issues and collaboratively share potential risks and proposals with leadership teams
Stay current on applicable laws, rules, regulations, regulatory guidance, and industry codes, especially concerning anti-bribery, competition, healthcare, and medical devices
Minimum Qualifications:
Attorney with 3-5 years of relevant experience with commercial transactions in a law firm or in-house legal department
JD degree from an accredited law school and active bar membership
Experience with commercial transactions in the medical diagnostics or healthcare industry preferred
Experience drafting, reviewing, and negotiating various types of commercial agreements
Knowledge of healthcare fraud and abuse laws, rules, regulations, regulatory guidance, and industry codes, including the federal Anti-Kickback Statute and False Claims Act
Able to quickly understand the business’ needs, work effectively with business teams and other members of our department to craft solutions, and efficiently deliver results
Excellent communication, drafting, and negotiation skills
Innovative, adaptable, and creative, with the appetite to challenge assumptions and working practices constructively
Demonstrated ability to work efficiently, learn quickly, meet demanding deadlines in a fast-paced environment, prioritize workflow, and adjust to frequent change
A resilient individual, who can operate independently, effectively counsel internal clients by providing clear and concise advice, and work for long-term, sustainable change
Excellent analytical and critical thinking skills
Capable of building positive relationships within Cepheid and with its customers, including welcoming others and taking opportunities to help others to achieve their objectives

MINIMUM REQUIREMENTS:
Education and Experience (in years):
