The Senior Counsel will report directly to the General Counsel – Biotechnology Integrated Solutions.

What you’ll do

  1. Partnering with Biotechnology Integrated Solutions leadership globally and teams in the US, Canada and LATAM to negotiate strategic commercial, turn-key solutions project agreements, direct sourcing, R&D and services as well as development contracts and other complex collaborations.

    1. Advising in the identification of opportunities to drive the business forward, e.g. working with business development in structuring, negotiating and closing of complex acquisitions.
  2. Supporting negotiation of global master sales agreements and/or distribution agreements with large customers and/or distributors.

  3. Lead the development of the legal framework -including templates and process -for our new product offerings in the digital and automation space.

  4. Partnering with Aseptic Filling team in relation to manufacturing site matters in Canada.

  5. Providing Legal & Compliance training to the Biotechnology Integrated Solutions business teams to help them identify and navigate risks that may arise during the course of doing business.

  6. Applying legal and business judgment to proposed deals, relationships and other issues requiring legal or compliance attention.

  7. Drafting, reviewing and negotiating strategic business agreements and transactions.

  8. Advising the business on compliance, privacy, antitrust, quality/regulatory and advertising / promotional matters, as well as supporting on HR matters as needed.

  9. Managing/ supporting the management of disputes and litigation.

  10. Managing outside counsel to define budgets when brought in to assist.

    Who you are

  11. JD with excellent academic credentials from an accredited law school. Active bar membership in at least one US jurisdiction. Minimum of 8 years post qualification experience.

  12. Significant business law experience at a large law firm or corporate in-house legal department, including but not limited to drafting, negotiating and closing complex business transactions (i.e. purchase, sale licensing and distribution agreements), preferably with experience gained in the healthcare/life sciences and/or digital, software and/automation services industry.

  13. Strong project management and prioritization skills, ability to effectively manage multiple tasks and priorities in a fast-paced environment.

  14. Business and solutions oriented with a genuine interest in new technologies with the ability to bring forward imaginative and innovative solutions.

  15. Strong analytical skills with demonstrated experience identifying and resolving legal issues quickly and effectively and ability to make on the spot risk calls.

  16. Ability to contribute to driving change across cross-functional teams.

  17. Outstanding written and verbal communication skills, including the ability to communicate with senior management.

  18. Proven team player with ability to work across all levels of the organization including multiple functional and business stakeholders.
