In this influential role, you will provide corporate counsel and serve as commercial legal resource for the Pall Life Sciences Division for the Americas region. The position will primarily be based at Pall’s headquarters in Port Washington, NY or Duncan South Carolina and will report to the Chief Corporate Counsel. You will work directly with business executives and colleagues in the Legal department in partnership with compliance and other stakeholders. You will provide legal support to Pall’s business units and shared services. You will be working with global teams and will be encouraged to understand the importance of operating with a global mentality and modeling global and cultural sensitivity.
This individual will perform a wide variety of hands-on legal work, including drafting and negotiating agreements, as well as contributing to contracts management strategy and providing oversight to the corporate and legal operations paralegal staff. You will develop and a solid understanding of our business offerings and possess the ability to evaluate and balance both legal and business factors when providing advice.
Commercial, Corporate and Administrative Responsibilities :
Identifying appropriate legal strategies to facilitate strategic goals and minimize risks. Functioning as a strategic business partner who provides trusted counsel on legal issues considering both global and local requirements.
Working with the business to negotiate, review and draft transactional documents, contracts and other legal agreements, including sales, procurement and distribution agreements.
Handling dispute resolution, lawsuits, and arbitrations by providing advice and regular, clear communication of litigation issues and opportunities to the affected business and legal function. Assist with mergers & acquisitions due diligence.
Resolving employment matters, providing counsel to the HR department on policies and procedures, collaborating with HR and Danaher employee relations on investigations and litigation.
Implement policies, procedures, communications and necessary training for critical US and State legislative and regulatory requirements.
Support Pall Corporate Real Estate team across all areas of leasehold, tenancy, construction and ownership issues, including negotiations with third parties, and coordination with brokers, external consultants and outside counsel.
Support the Digital Solutions / eCommerce team with expansion of global online sales and e-marketing channels while protecting the brand through execution of new supplier, channel partner or e-marketplace agreements, and establishing new country eCommerce sites.
Advise global EHS team and around local EHS initiatives; provide legal leadership on pending regulatory examinations, investigations and enforcement actions; engage and direct outside counsel, as required.
Participate in Global Legal and Compliance projects and drive implementation in the Americas.
Minimum Professional Experience, Education and Credentials:
Undergraduate plus Juris Doctor degree (BA/BS plus JD)
Bar Certified and in good standing. Certification in NY / NJ or SC is desired.
Must have some commercial contracts experience and specialize in negotiation.
Litigation experience for employment and commercial / corporate issues with significant experience drafting various legal documents.
Strong interpersonal skills including excellent communication and negotiation skills, and ability to work in a highly collaborative environment.
Committed to comprehensive and in-depth analysis, planning and implementation of every work effort.
Ability to work onsite in Port Washington NY or Duncan South Carolina is required
