IP subject matter expert for Equity Ventures
The Senior IP Counsel, Danaher Equity Ventures AsiaBeing a member of the Danaher Equity Ventures Asia team, the Senior IP Counsel will provide advice on critical IP risks and opportunities associated with the Equity Ventures’ investments and strategic objectives in China and other APAC regions. As the leader of the Equity Ventures’ IP diligence activities, the Senior IP Counsel will review potential investment opportunities and assess IP portfolio strength and commercial IP risk. Serving as an IP expert within the group, the Senior IP Counsel will also provide context and input for future investments by providing detailed assessments of the competitive IP landscape, major IP litigations within investment areas and evolutions in IP law that could impact the Equity Ventures’ investment thesis. Meanwhile, the Senior IP Counsel will also lead IP diligence and negotiation in building partnership with industry and academia. Successful candidates will have a process orientation and demonstrated ability to consistently summarize complex IP issues succinctly to senior executives and be able to provide concrete recommendations that reflect a balanced view of risk and opportunity.
Key Responsibilities include:
Conducting IP due diligence investigations on investment candidates and providing business level advice on portfolio strength, freedom to operate and overall IP risk associated with these investments. Presenting these results and recommendations to senior legal and business leaders.
Creating and analyzing IP landscapes for targeted market sectors to identify emerging or potentially disruptive technologies for investment
Reviewing CDA and other transactional agreements and investment documentation for IP impact
Creating or evolving standard work processes for supporting IP diligence
Leading IP diligence and supporting IP management and negotiation in extended Science and Technology activities, e.g., open innovation, licensing, collaboration, of the Equity Ventures Asia
Supporting other legal and IP issues related to the Equity Ventures’ daily operations.
Coordinating with other legal professionals within the Danaher Legal Department on matters related to the Equity Ventures Asia.
Preferred Background and Skills:
Qualification for China Patent Agent, or demonstrated capability.
Qualification for China legal professions, membership of legal bar and/or patent bar in other jurisdictions are preferred.
An advanced degree in biology, chemistry, biochemistry, bio-engineering or other field relevant to the life sciences and diagnostics areas.
A law degree is preferred.
6+ years of relevant experience in law firm and/or as in-house counsel in the life sciences and diagnostics industries. In-house experience strongly preferred.
Experience conducting IP due diligence investigations related to M&A, investment or other transactions.
Professional experience in and outside of China
Experience in venture investing in early- to late-stage startups preferred.
Approaches IP with a strategic mindset by anticipating future business, competitive and legal risks, and looks for creative solutions and opportunities.
Fluent verbal and written skills of Mandarin and English.
Strong negotiation and communication skills; able to simply explain complex IP issues in business terms.
Demonstrated high integrity and ethics in all dealings, non-political in conduct, while understanding internal and external dynamics.
Ability to travel domestically and internationally as needed.
Extremely responsive and able to prioritize multiple projects.
Fluent in Chinese and English
