Description

Leica’s Americas Paralegal will support members of the regional legal department with paralegal projects and administrative matters in the areas of contract administration, general corporate legal and compliance work, and other projects as assigned. The Paralegal will be an integral part of the Company’s in-house corporate legal department, and will report directly to Leica Microsystems’ Legal & Compliance Counsel for the Americas.

RESPONSIBILITIES:

Contract Administration:

A material portion of this position’s work will be devoted to assisting in the legal review of sales contracts for our regional customer base.

A strong background in contract drafting and review is a requirement for this position including a solid understanding of contract document provisions applicable to healthcare sales contracts.

Corporate Governance work:

Draft consents, resolutions and other corporate documents; coordinate appointment and removal of all corporate officers and directors.

Process markup of documents from legal department staff; draft and review

non-sales standard forms of contracts (NDAs, consulting, trade show, hotel, etc.); maintain contract files, including following up on executed versions of contracts and notifying business unit representatives of impending important contract dates.

Serving as the legal department’s coordinator for project requests from our internal clientele around the globe.

Day-to-Day administrative support work, such as document routing for signatures and other Designation of Authority matters; processing compliance approvals; calendar and travel coordination; and so forth.

Assist with product liability and auto claims and coordinate the same with third party adjuster.

Qualification

There is an option for the person to work out of an office in our Buffalo Grove, IL location OR to work out of a Framingham, MA location. MA OR IL candidates welcome to apply!

REQUIREMENTS FOR THIS POSITION:

a) Professional Experience

• Four (4) or more years of experience as a Paralegal.

b) Education

• Requires a BA from an accredited college or university, a paralegal certificate from an ABA accredited school (or any equivalent combination of related experience, training, and/or education), plus four (4) or more years of experience as a paralegal which should preferably be in-house for a corporation or a corporate law firm.

c) Language

• English

d) Travel (required estimated % of time)
